Terms of Service
Please read these terms carefully before using the KiddosDesk platform.
1. Acceptance of Terms
By accessing or using the KiddosDesk platform (the "Service") — including the web application, mobile applications, and any related APIs — you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service.
If you are accepting these Terms on behalf of an organization (such as a childcare center), you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
KiddosDesk is a business-to-business (B2B) Software-as-a-Service platform designed for licensed childcare centers. It provides tools for daily operations including child check-in and check-out, activity logging, incident reporting, attendance tracking, staff scheduling, and parent-staff communication.
The Service is designed for use by licensed childcare professionals and authorized caregivers. It is not a consumer product and is not intended for direct use by the general public outside of a managed childcare context.
3. Eligibility
To use KiddosDesk, you must be:
- A licensed childcare operator or an employee or contractor of such an operator; or
- A parent or guardian of a child enrolled at a school that uses KiddosDesk, accessing the Service with credentials provided by that school.
The Service is not for use by minors (persons under 18 years of age) as account holders. If you are under 18, you may not create an account.
4. Account Responsibilities
You are responsible for:
- Providing accurate and complete information when creating your account
- Keeping your credentials (email and password) secure and confidential
- All activity that occurs under your account
- Promptly notifying us at hello@kiddosdesk.com if you suspect unauthorized access
School administrators are responsible for managing the accounts of all users (teachers and caregivers) associated with their school, including revoking access when users leave the organization.
5. Acceptable Use
You agree to use the Service only for lawful daycare management purposes. You must not:
- Use the Service for any purpose other than managing a licensed childcare center
- Scrape, crawl, or systematically extract data from the platform
- Attempt to gain unauthorized access to other users' accounts or data
- Upload malicious code, viruses, or any harmful content
- Use the Service in any way that violates applicable laws or regulations
- Impersonate another person or misrepresent your affiliation with any organization
Violation of this section may result in immediate suspension or termination of your account.
6. Children's Data & COPPA Compliance
Schools using KiddosDesk act as the data controller for all children's personal data entered into the platform. KiddosDesk acts as a data processor on the school's behalf.
Schools are solely responsible for:
- Obtaining verifiable parental consent before collecting or uploading any information about a child
- Complying with the Children's Online Privacy Protection Act (COPPA) and any other applicable child privacy laws
- Ensuring that only authorized staff and caregivers have access to children's data
KiddosDesk will process children's data only as instructed by the school and will not use it for any independent purpose.
7. Intellectual Property
KiddosDesk owns the Service. All software, user interfaces, trademarks, logos, and content comprising the KiddosDesk platform are the exclusive property of KiddosDesk or its licensors. You may not copy, modify, distribute, or create derivative works of the platform without our prior written consent.
Schools own their data. All data you upload or create within the Service — including children's records, activity logs, photos, and messages — belongs to you. We claim no ownership over your data.
8. Data Ownership & Portability
You may request an export of all data associated with your school's account at any time by emailing hello@kiddosdesk.com. We will provide exports in a machine-readable format (CSV or JSON) within a commercially reasonable timeframe.
Upon termination of your account, we will delete all associated data within 30 days, unless a longer retention period is required by applicable law. After deletion, data cannot be recovered.
9. Service Availability
We strive to maintain commercially reasonable uptime for the Service. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, infrastructure issues, or circumstances beyond our control.
No Service Level Agreement (SLA) is provided on free or trial tiers. Paid subscription tiers may include uptime commitments as defined in a separate agreement.
10. Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PETITE SEED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Termination
Either party may terminate the use of the Service at any time:
- You may stop using the Service and request account deletion at any time
- We may suspend or terminate your access immediately if you violate these Terms, engage in abusive behavior, or if required by law
Upon termination, your right to access the Service ceases immediately. Sections 7, 8, 10, and 12 of these Terms survive termination.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida.
